Terms and Conditions

1. PREAMBLE

This Terms of Service (this “Agreement”) is between wydr GmbH (“we”, “us”, “System”, "wakim" or “wydr”) and the person using our services (“you”, “User” or “Customer”). We provide you with access to our System that helps you create websites, manage their content and customization as well as hosting services and domains. Listed below are the terms and conditions of using our System. They are necessary in order to maintain a good practice and protect us and yourselves. 


1.1 AGREEMENT

These Terms and Conditions together with all additional rules, guidelines, policies and disclaimers herein published or otherwise notified to the User will constitute a binding agreement between the User and WYDR. These Terms and Conditions constitute a "writing signed by the User" under any applicable law or regulation. By using WYDR Services, the User represents that he has read and understood these Terms and Conditions and agrees to be bound by it. If these conditions are translated into another language, the English Language version will prevail in the event of any conflict of translation.


WYDR reserves the right to adjust, amend or modify the WYDR Terms and Conditions unilaterally at any time. With each new use of WYDR’s Services the current, callable version is applicable and shall prevail.


1.2 APPLICABILITY AND ENFORCEMENT

WYDR’s Terms and Conditions, Guidelines and Policies apply exclusively to all relationships created in connection with use of WYDR Platforms and Services. No deviations to WYDR’s Terms and Conditions, Guidelines and Policies are effective without WYDR’s explicit written consent.


1.3 LEGAL USE REQUIREMENTS

Users may only use WYDR Platforms and Services if they are at the minimum legal age to conclude the contract and it is legal for them to do so. WYDR reserves the right to ask for proof of age from the User and the User’s Account may be suspended until satisfactory proof of age is provided. WYDR Platforms does not constitute, and may not be used for the purposes of, an offer or solicitation to anyone in any jurisdiction that such offer or solicitation is not authorized, or to any person to whom it is unlawful to. Access to the Platforms and the offering of the Services may be restricted in certain jurisdictions and accordingly, Users are required to inform themselves of, and to observe, such restrictions. The Buyer understands and accepts that WYDR is unable to provide the Buyer with any legal advice or assurances and that it is the Buyer’s sole responsibility to ensure that at all times the Buyer complies with the laws that govern the Buyer and that the Buyer has the complete legal right to use WYDR Platforms and Services. Any use of the Services is at the Buyer’s sole option, discretion and risk.


1.4 INTERNATIONAL SUPPORT

WYDR Platforms and Services are not limited by Users location and are international. WYDR may offer certain programs, tools, and site experiences of particular interest to international Users, such as estimated local currency conversion and international shipping calculation tools. The Users are responsible for complying with all laws and regulations applicable to the international sale, purchase, and shipment of items in their respective locations.


To assist Users who may speak different languages, whenever automated translation solutions are available, they might be used to translate the WYDR listings content and other provided information, in whole or in part, into local languages. The accuracy or availability of translations is not guaranteed by WYDR.


1.5. PROMOTIONS AND BONUSES

WYDR will offer periodical promotions and bonuses. WYDR reserves the right to change and/or even terminate the terms and conditions of any Promotion at its sole discretion at any time and without prior notice to the Buyer.



2. BUYER REPRESENTATIONS AND WARRANTIES

2.1 Creating an Account

To access the System and Services, the User needs to register for an Account with WYDR. The User can open an Account with WYDR by choosing a unique Account name and password and entering other information that WYDR requests. The User will ensure that the details provided at registration are accurate and kept up to date.


The Account information is kept confidential for WYDR’s own purpose and according to WYDR’s Privacy Policy. The User confirms that he has provided true, accurate, current and complete information during the registration process, and that he has not impersonated any person or entity, or misrepresented any affiliation with another person, entity or association, used false headers or otherwise concealed their identity from WYDR for any purpose. Failure to supply such data may result in suspension of the Account.


Should WYDR have reasonable grounds to believe that multiple Accounts have been opened with the intention to defraud WYDR, WYDR reserves the right to cancel any transaction related to the said fraud attempt.


2.2 Your Content

You are responsible for any content that is in your website such as images, videos, audio files, design elements, logos, fonts, texts and more. We are not responsible for any of your content. We are also not responsible for content that has been lost because of the use of Wakim, it is your obligation to keep safe and back-up regularly your content. We do not monitor what content has been used in a website and we are not to be held responsible for anyone breaking the terms and conditions but we have the right to delete such harmful content or even terminate accounts if so. 


You own all intellectual property associated with your account such as images, videos, audio files, design elements, logos, fonts, texts and any other materials and files created by you and existing on your website. You hereby grant wydr the non-exclusive, royalty-free, unalterable, interchangeable rights to your website content in order for Us to provide you with Wakim’s Services. 


2.3. Your Obligations

  1. You certify and warrant that you are at least 13 years of age. People under the age of 13 are not permitted to use our services.
  2. To keep your Wakim account login information safe.
  3. To provide us with up to date, accurate and valid personal information at all times.
  4. You own the rights to any content uploaded by you on your website, including images, videos, audio files, design elements, logos, fonts, texts and anything that you do have the rights to use.
  5. The content materials can not be used in unlawful or harmful way.
  6. You must notify us immediately if you become aware of any unauthorised use of your account.
  7. Your content must not be illegal, unlawful, threatening, abusive, harassing, tortuous, vulgar or obscene in any way, must not infringe any person's legal rights.
  8. You may not send unsolicited messages (SPAM) or any unethical advertising of such sort that is considered as “spam” or harmful in any way.
  9. Your should not upload viruses, worms, Trojan horses or any other malicious code, files, or programs that may interrupt, destroy, or limit the functions and services of Wakim.
  10. You may not upload content that contains scam.
  11. You may not try to hack, break or override the functions and stability of Simvoly or try to exploit the System in any way.
  12. You may not use the System to create any scam websites and promotions with misleading content that can harm or scam visitors.
  13. You may not use Wakim for distributing, storing or, in any way, using the System for pornographic or adult content and services.



You acknowledge and agree that If you are reasonably found guilty of violating of any of these rules and obligations, this may cause immediate termination of your account with no refund for the services that has already been payed for. You may also be forbidden from having an account in the System. 


2.4 What we provide

Wydr provides a website building system, templates (themes), website hosting (all from third party company) and domain registration from third party company. The images used for the creation of the mockup themes are released under Creative Commons CC0 (https://creativecommons.org/publicdomain/zero/1.0/deed.en). Wydr does not hold any rights to images used for the creation of the themes. 


2.5 Trial Subscription

Wakim provides a 14 day trial to all newly created websites and you can use the services according to the Agreement for the period of those 14 days. Upon completion of those 14 days the website will become non-active until the User subscribe for the paid Wakim services. Trial period is permitted for you, the User, to be able to test and create a website to your likes before committing a paid subscription. Wakim has the right to terminate or cancel trial subscriptions in any time for any reasons. 


2.6 Service Fees

Service fees are applicable upon signing for the paid services of Wakim that can be monthly or yearly.

All Fees are in CHFf. Wakim is not liable for any taxes or fees related with commercial products.

The payment for the applicable fee is in advance of your subscription period according to the Agreement.

You can upgrade or downgrade at anytime. If upgrading, you will be charged the difference between the two subscription plans for the extra services. Downgrade refunds are applicable only for yearly subscriptions, up to 14 days after the subscription is made. There are NO refunds for monthly downgrades. If downgrading from a yearly subscription, a calculated amount will be refunded to you according to the actual service fees of the two subscription services. Downgrading may cause a loss of information and services due to the difference between the plans. There are refund for monthly downgrades.

Refunds are allowed only for yearly subscriptions and up to 14 days after the subscription is made. If such refund is issued by the User, he will be refunded the full amount he has paid. The refund amount might be subject to transfer taxes that will be for the cost of the User and will be transferred to the card used for paying the initial subscription cost. Cash refunds are NOT applicable for “Combo Deals” or “Exclusive Deals” (Custom design and development).

If a custom domain is claimed with an yearly subscription and the Customer cancels their services in the 14 day refund period, the full amount of the domain will be deducted of the refunded amount.

At the end of a contract term, the services will be automatically renewed for the same period of time until EXPLICITLY canceled by the User. Cancellation must be made via the System and at least 24 hours prior to the end of the contract period.

If you purchase Wakim subscription services, you agree to Wakim and third party services to use and store your credit/debit card information. You authorize us to charge you for any Wakim Services that you may purchase and any applicable taxes connected with the payment card services. You will reimburse us for all collection costs and interest for any overdue amounts. If the payment card expires or you do not provide us with a new payment card nor cancel your subscription, you authorize us to continue billing you and you will remain responsible for any uncollected Fees.

You are responsible for the fair usage of your website and you can be charged for abnormal server or traffic usage on our unlimited subscription plans. You will be charged for the resources used by your website.


2.7 Service Cancellation

Failure to comply with any of Wakim's terms or pay due fees you entitle Wakim to cancel or suspend your account services and website. You can cancel your services at any time, no questions asked. 


2.8 Termination

Services can be terminated by us at any time without a cause.

You can terminate your services at any time without a cause according to the cancellation procedures.

If the Agreement terms are valuated it may result in penalties or immediate termination of services without payment refund in any way.

Upon termination Wakim has the right to delete all files, data or information associated with the terminated account.


2.9 Domains

With subscribing for yearly subscription you have the right to claim a free custom domain (only for the first year of annual subscription). All domains are brought to you by third party companies partnering with us to provide such service. By claiming a domain you are agreeing with the domain register company’s terms and conditions and our participation in the purchasing of the domain.


If you issue a refund and claimed a free custom domain you will be charged 20 CHF. The fee will be taken from the refund sum. Transferring domain might be subject to further fees from the third party domain provider.


You are the legal and rightful owner of the registered domain. Your domain registration will be automatically renewed with each yearly payment according to our price plan, unless cancelled from the admin panel or by contacting a support representative of Wakim. 


Once a register of a domain is made, it is final and there cannot be a refund or change of domains. 



COPPA (Children Online Privacy Protection Act)

When it comes to the collection of personal information from children under 13, the Children's Online Privacy Protection Act (COPPA) puts parents in control. The Federal Trade Commission, the nation's consumer protection agency, enforces the COPPA Rule, which spells out what operators of websites and online services must do to protect children's privacy and safety online. We do not specifically market to children under 13. 


2.10 WARRANTY AND DISCLAIMER

Wakim shall use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner which minimizes errors and interruptions in the Services and shall perform the Implementation Services in a professional and workmanlike manner. Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by Wakim or by third-party providers, or because of other causes beyond Wakim's reasonable control, but Wakim shall use reasonable efforts to provide advance notice in writing or by e-mail of any scheduled service disruption. HOWEVER, WAKIM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SERVICES AND IMPLEMENTATION SERVICES ARE PROVIDED “AS IS” AND WAKIM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 


2.11 INDEMNITY

Wakim shall hold Customer harmless from liability to third parties resulting from infringement by the Service of any United States patent or any copyright or misappropriation of any trade secret, provided Wakim is promptly notified of any and all threats, claims and proceedings related thereto and given reasonable assistance and the opportunity to assume sole control over defence and settlement; Wakim will not be responsible for any settlement it does not approve in writing. The foregoing obligations do not apply with respect to portions or components of the Service (i) not supplied by Wakim, (ii) made in whole or in part in accordance with Customer specifications, (iii) that are modified after delivery by Wakim, (iv) combined with other products, processes or materials where the alleged infringement relates to such combination, (v) where Customer continues allegedly infringing activity after being notified thereof or after being informed of modifications that would have avoided the alleged infringement, or (vi) where Customer’s use of the Service is not strictly in accordance with this Agreement. If, due to a claim of infringement, the Services are held by a court of competent jurisdiction to be or are believed by Wakim to be infringing, Wakim may, at its option and expense (a) replace or modify the Service to be non-infringing provided that such modification or replacement contains substantially similar features and functionality, (b) obtain for Customer a license to continue using the Service, or (c) if neither of the foregoing is commercially practicable, terminate this Agreement and Customer’s rights hereunder and provide Customer a refund of any prepaid, unused fees for the Service.

Wakim hyperlinks are used solely for easier access of the Users. WYDR can not know the content of these websites in detail, nor accepts any liability or other responsibility for the content of the websites. 


3 LIABILITY

NOTWITHSTANDING ANYTHING TO THE CONTRARY, EXCEPT FOR BODILY INJURY OF A PERSON, WAKIM AND ITS SUPPLIERS (INCLUDING BUT NOT LIMITED TO ALL EQUIPMENT, SERVICE, HOSTING AND TECHNOLOGY SUPPLIERS), OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR TERMS AND CONDITIONS RELATED THERETO UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY: (A) FOR ERROR OR INTERRUPTION OF USE OR FOR LOSS OR INACCURACY OR CORRUPTION OF DATA OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY OR LOSS OF BUSINESS; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND WAKIM’S REASONABLE CONTROL; OR (D) FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID BY CUSTOMER TO WAKIM FOR THE SERVICES UNDER THIS AGREEMENT IN THE 12 MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT WAKIM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 


3.1 LIMITATION OF LIABILITY

The User agrees to use WYDR Platforms and Services at own risk. WYDR Platforms ad Services are being provided to the Users on an "AS IS" and "AS AVAILABLE" basis.


In addition, to the extent permitted by applicable law, WYDR is not liable for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from:

  • the Users use of or the Users inability to use our WYDR Platforms and Services
  • any failure or malfunction or any software, hardware, communication, broadcasting, technology or other system
  • the User’s reliance on any materials contained on WYDR Platforms and Services
  • any Items or Services advertised or linked to WYDR Platforms and Services
  • pricing, shipping or other guidance provided by WYDR
  • delays or disruptions in WYDR Platforms and Services
  • viruses or other malicious software obtained by accessing, or linking to, WYDR Platforms and Services
  • glitches, bugs, errors, or inaccuracies of any kind in WYDR Platforms and Services
  • damage to the Users hardware device related to the use of WYDR Platforms and Services
  • the content, actions, or inactions of third parties, including items listed using WYDR Platforms and Services or the destruction of allegedly fake items
  • a suspension or other action taken with respect to the Users account by WYDR
  • the duration or manner in which the Seller’s listings appear in search results
  • the Buyer’s need to modify practices, content, or behaviour or
  • the Buyer’s loss of or inability to do business, as a result of changes of WYDR Terms and Conditions, Guidelines and Policies


WYDR has no liability or duty of indemnification related to unusable data, loss or date corruption, by whatever means, in whatever form, resulting in part or in whole from third-party software or networking goods or services or from internet related problems or from actions or events outside of WYDR’s control.


WYDR disclaims any and all liability resulting from or related to any breach of internet security or disruption, distortions or delays of the User's connections to the internet, due to any reason.

WYDR’s liability to the Users or to any third party is limited to amount of the Listed Item Price.


3.2 Modifications

Modifications of the Service. Wakim may make modifications and changes on the existing services or components and will use reasonable efforts to notify all it’s Customers about those changes. The changes are effective upon the date of the change. Wakim shall not be liable for modifications and actions of third party services.


Modifications to the Agreement and the Fees may occur. You will be notified prior to those changes being applied to your account. If you refuse or fail to pay such fees we will cancel your subscription.


3. PRIVACY POLICY

Wakim respects the privacy of Users of its Services. The Privacy Policy is the basis for the processing of the Users personal information and insight into what type of User data will be collected by Wakim and how Wakim is using such data. Wakim complies with applicable privacy laws and processes the personal data only for the purposes for which the information was collected.



Wakim may process the data collected in connection with its Services for the Buyer contract fulfilment and for marketing purposes. Information necessary for the contract fulfilment (for example the billing address and IP) can be shared with third parties. 



3.1 TYPE OF DATA COLLECTED AND USE OF COOKIES

By using Wakim’s services, statistical visitor data is collected about the use. This collected data do not contain any references to persons or made anonymous enough to avoid any conclusions on the Users identity. Wakim does not accept any automatic collection of personal data of users such as the name, address, telephone number or e-mail address. Exception being the information, which the User voluntarily submitted to Wakim during registration and which are required to participate in Wakim’s Services.


In order to improve its Services, Wakim uses cookies. Cookies are small software information that are stored by the User’s browser on the User’s computer's hard drive to facilitate the use of the site (such as voice dialing, shopping cart, etc.). These cookies are completely anonymous and do not contain any personal information. At no time spy software is installed or used to access the computer’s stored data and information.
 Most browsers automatically accept cookies, but the browser can be configured to not accept or store cookies.


3.2 SOCIAL-MEDIA CONTENT

Wakim can use social-media plugins on its website, applications and tools. Those are governed by their own privacy policy, where Wakim has no influence or liability.


If the User desires that none of these plugins are loaded, it is recommended to log out from the appropriate social media service. Furthermore, different browsers (eg Facebook blockers) are added or adjusted with add-ons that social media plugins are not loaded.


3.3 DATA CONFIDENTIALITY AND DISCLOSURE

Wakim may use the provided information. The provided information will not be disclosed to third parties. An exception is when the User has agreed with sharing the provided information with third parties or if Wakim has legal, regulatory or judicial obligation to share the provided information. Furthermore, if service providers that support Wakim in provision of its Services require the provided information. These third parties are required to comply with the same level of security and privacy, such as Wakim.


The anonymous data which will be held at the call of the Wakim website through cookies, for purposes of analysis, are used to optimize the website and for measuring the performance. Wakim can use third-party tools, with their respective own privacy policies, where Wakim has no influence or liability. Data reported by the Users themselves as Users of the website may be used by Wakim for the purpose of improving the website and the individual User support. These include, among other things, information updates, offers or notification with respect to the product range or services. Wakim newsletters are only distributed if the User has explicitly agreed.


3.4 DATA SECURITY

The transmission of data over the Internet is not completely secure. Wakim collaborates with service providers and Internet providers who implement appropriate technical and organizational security precautions to protect users' personal data. However, Wakim can not guarantee the security of data transmitted by the Users.


3.5. DISPUTE RESOLUTION

In case of any dispute arising in connection with Wakim and WYDR Platforms and Services, the applicable law is exclusively Swiss law. The applicable law shall apply to the exclusion of conflicts of law provisions.

The applicable jurisdiction is Zurich, Switzerland.


4 MISCELLANEOUS

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by Customer except with Wakim’s prior written consent. Wakim may transfer and assign any of its rights and obligations under this Agreement without consent. This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and Customer does not have any authority of any kind to bind Wakim in any respect whatsoever. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorney’s fees. All notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. This Agreement shall be governed by the Swiss laws without regard to its conflict of laws provisions.

Privacy Policy

This privacy policy has been compiled to better serve those who are concerned with how their 'Personally identifiable information' (PII) is being used online. PII, as used in US privacy law and information security, is information that can be used on its own or with other information to identify, contact, or locate a single person, or to identify an individual in context. Please read our privacy policy carefully to get a clear understanding of how we collect, use, protect or otherwise handle your Personally Identifiable Information in accordance with our website. 


What personal information do we collect from the people that visit Wakim?

When registering on Wakim, as appropriate, you will be asked to enter your name, email address and password in order to complete your registration. When submitting for paid services with Wakim, you will be asked to provide name, company name (optional), vat id (optional), company id (optional), address and card info. The information is used to verify your location, verify credit card authenticity and issue the correct documentation regarding your payment. We DO NOT store credit card information with us. We store all the other information on our secure servers until termination of services, when we destroy any sensible information. 


When do we collect information?

We collect information from you when you register on our site, place an order, subscribe to a newsletter, fill out a form or enter information on our site. 


How do we use your information?

We may use the information we collect from you when you register, make a purchase, sign up for our newsletter, respond to a survey or marketing communication, surf the website, or use certain other site features in the following ways: 

• To personalize user's experience and to allow us to deliver the type of content and product offerings in which you are most interested.

• To improve our website in order to better serve you.

• To quickly process your transactions.

• To send periodic emails regarding your order or other products and services.


How do we protect visitor information?

We use regular Malware Scanning. Your personal information is contained behind secured networks and is only accessible by a limited number of persons who have special access rights to such systems, and are required to keep the information confidential. In addition, all sensitive/credit information you supply is encrypted via Secure Socket Layer (SSL) technology. We implement a variety of security measures when a user places an order enters, submits, or accesses their information to maintain the safety of your personal information. All transactions are processed through a gateway provider and are not stored or processed on our servers. 


Do we use 'cookies'?

Yes. Cookies are small files that a site or its service provider transfers to your computer's hard drive through your Web browser (if you allow) that enables the site's or service provider's systems to recognize your browser and capture and remember certain information. For instance, we use cookies to help us remember and process the items in your shopping cart. They are also used to help us understand your preferences based on previous or current site activity, which enables us to provide you with improved services. We also use cookies to help us compile aggregate data about site traffic and site interaction so that we can offer better site experiences and tools in the future.

We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information unless we provide you with advance notice. This does not include website hosting partners and other parties who assist us in operating our website, conducting our business, or servicing you, so long as those parties agree to keep this information confidential. We may also release your information when we believe release is appropriate to comply with the law, enforce our site policies, or protect ours or others' rights, property, or safety. However, non-personally identifiable visitor information may be provided to other parties for marketing, advertising, or other uses. 


Third party links

Occasionally, at our discretion, we may include or offer third party products or services on our website. These third party sites have separate and independent privacy policies. We therefore have no responsibility or liability for the content and activities of these linked sites.
